CNH Industrial announces cash tender offer for up to $400 million of senior notes due 2017 issued by its subsidiary Case New Holland Industrial Inc.

CNH Industrial N.V. (NYSE: CNHI /MI: CNHI) (“CNH Industrial”) hereby announces that  its wholly owned subsidiary Case New Holland Industrial Inc. (the “Company”) has commenced a cash tender offer (the “Tender Offer”) for a portion of its outstanding 77/8% Senior Notes due 2017 (the “Notes”) guaranteed by CNH Industrial and certain of CNH Industrial’s direct and indirect subsidiaries (together with CNH Industrial, the “Guarantors”). The terms and conditions of the Tender Offer are described in an offer to purchase (the “Offer to Purchase”) dated today.

The following list sets forth certain information relating to the pricing for the Tender Offer.

Rationale for the Tender Offer

The Company is making the Tender Offer as a way of managing CNH Industrial group’s financial liabilities and cost of debt financing.

The Tender Offer

The Tender Offer is being made upon the terms and subject to the general conditions set forth in the Offer to Purchase. The Tender Offer will expire at 11:59 p.m., New York City time, on December 20, 2016, unless extended at the sole discretion of the Company (such date and time as it may be extended, the “Expiration Time”). Tenders of Notes may be withdrawn on or prior to 5:00 p.m., New York City time, on December 6, 2016, but may not be withdrawn thereafter (except in certain limited circumstances described in the Offer to Purchase).

The consideration paid in the Tender Offer for Notes that are purchased pursuant to the Tender Offer will be $1,058.75 (the “Total Consideration”). Holders of Notes that are validly tendered and not withdrawn on or prior to 5:00 p.m., New York City time, on December 6, 2015 (the “Early Tender Time”) and accepted for purchase will receive the Total Consideration, which includes an early tender payment of $30 per $1,000 principal amount of the Notes accepted for purchase (the “Early Tender Payment”). Holders of Notes that are validly tendered and not withdrawn following the Early Tender Time, but on or prior to the Expiration Time, and accepted for purchase will receive the “Tender Offer Consideration”, which will equal the Total Consideration minus the Early Tender Payment.

Payments for Notes that are validly tendered and accepted for purchase will include accrued and unpaid interest from the last interest payment date for the Notes up to, but not including, the relevant Early Settlement Date or Final Settlement Date (each, as defined below) (the “Accrued Interest”). Payment for Notes validly tendered and not validly withdrawn prior to the Early Tender Time will be made promptly following the Early Tender Time (such date, the “Early Settlement Date”). Payment for Notes validly tendered after the Early Tender Time and prior to the Expiration Time will be made promptly following the Expiration Time (such date, the “Final Settlement Date”). Assuming that the general conditions to the Tender Offer are satisfied or waived, the Company expects that the Early Settlement Date will be December 9, 2016 and the Final Settlement Date will be December 23, 2016. No tenders submitted after the Expiration Time will be valid.

Notes may be subject to proration if the aggregate principal amount of Notes validly tendered and not validly withdrawn would cause the Maximum Tender Amount to be exceeded. In the event any tendered Notes are not accepted for purchase due to proration, they will be promptly returned or credited to the Holder's account. Notes purchased pursuant to the Tender Offer will be cancelled.

The Tender Offer is subject to the satisfaction or waiver of certain conditions, as specified in the Offer to Purchase. If any of the conditions are not satisfied, the Company will not be obligated to accept for payment, purchase or pay for, and may delay the acceptance for payment of, any tendered notes and may terminate the Tender Offer, in each event subject to applicable laws. The Tender Offer is not conditioned on the tender of a minimum principal amount of Notes.

None of the Offer to Purchase or any other document or materials relating to the Tender Offer have been or will be submitted to the clearance procedures of the Commissione Nazionale per le Società e la Borsa (“CONSOB”) pursuant to Italian laws and regulations. The Tender Offer is being carried out in Italy as an exempted offer pursuant to article 101-bis, paragraph 3-bis of the Legislative Decree No. 58 of 24 February 1998, as amended (the “Financial Services Act”) and article 35-bis, paragraph 4 of CONSOB Regulation No. 11971 of 14 May 1999, as amended. Holders or beneficial owners of the Notes that are resident and/or located in Italy can tender Notes for purchase in the Tender Offer through authorised persons (such as investment firms, banks or financial intermediaries permitted to conduct such activities in the Republic of Italy in accordance with the Financial Services Act, CONSOB Regulation No. 16190 of 29 October 2007, as amended, and Legislative Decree No. 385 of 1 September 1993, as amended) and in compliance with any other applicable laws and regulations and with any requirements imposed by CONSOB and any other Italian authority.

Neither the Offer to Purchase nor any other documents or materials relating to the Tender Offer have been submitted to or will be submitted for approval or recognition to the Belgian Financial Services and Markets Authority (Autoriteit voor financiële diensten en markten / Autorité des services marchés financiers) and, accordingly, the Tender Offer may not be made in Belgium by way of a public offering, as defined in Articles 3 and 6 of the Belgian Law of 1 April 2007 on public takeover bids as amended or replaced from time to time. Accordingly, the Tender Offer may not be advertised and the Tender Offer will not be extended, and neither the Offer to Purchase nor any other documents or materials relating to the Tender Offer (including any memorandum, information circular, brochure or any similar documents) has been or shall be distributed or made available, directly or indirectly, to any person in Belgium other than "qualified investors" in the sense of Article 10 of the Belgian Law of 16 June 2006 on the public offer of placement instruments and the admission to trading of placement instruments on regulated markets (as amended or replaced from time to time), acting on their own account.
